Terms of Service

Updated

These Terms of Service (the "Terms") are the legally binding agreement for your use of CharacterX: the website at https://characterx.app, the CharacterX app for iOS, and every feature we operate under that name (the "Services").

The Services are owned and operated by Sub Zero Labs OÜ ("CharacterX", "we", "us", "our"), a private limited company registered in Estonia under register code 17449187, with its registered office at Sepapaja tn 6, 15551 Tallinn, Estonia.

By creating an account or using the Services you agree to these Terms, to our Privacy Notice and to our Content Policy, which form part of them. If you do not agree, do not use the Services. Where these Terms are provided in another language, the English version controls.

Before anything else

  • CharacterX is entertainment. It is not therapy, counselling, medical, legal or financial advice, or crisis support. If you are in distress, contact a qualified professional or your local emergency service.
  • Every character is fiction. Characters are invented adults, written, painted and voiced by software. They have no feelings and no existence outside the Services. Anything a character says about the real world, about meeting you or needing you, is generated text and must never be relied on.
  • AI output can be wrong. Chat replies, images and voice produced by the Services may be inaccurate, inconsistent or offensive. You decide what you do with them.
  • Adults only. You must be at least 18 years old, and old enough to form a binding contract where you live, to use any part of the Services.

§ 01

The Services

CharacterX is an AI character chat and roleplay service for adults. With it you can:

  • talk with characters from our catalogue, or with characters you create;
  • start a conversation freely or choose a fantasy (an optional roleplay scenario) to set the scene;
  • create a character from one sentence, after which our models draft who they are and paint their portrait;
  • choose who you are in a conversation: yourself, one of the characters, or a persona you write;
  • generate images of characters and scenes, and change how a character looks to you;
  • hear characters' lines read aloud by a synthetic voice, where available.

The app may call a saved roleplay conversation a “story”. This means a chat with characters and optional scenes. Conversation, characters, images and voice are generated by AI models. Everything the Services produce is fiction, and every character is an adult.

Explicit content. The website offers explicit adult content, including explicit images. The iOS app limits how explicit images can be, in line with App Store rules. Some content may also be unavailable where the law requires it.

The catalogue is made and curated by us. It is not a creator marketplace: you cannot sell characters on it, and no part of your payment goes to a third-party creator. Characters, personas and stories you create are not published in the catalogue.

We may add, change, restrict or remove characters, fantasies, features and content at any time. The Services are for your personal, non-commercial use only.

§ 02

Eligibility and age

The Services contain adult material and are strictly for adults. By creating an account or otherwise using the Services you confirm that you are at least 18 years old, or older if the age of majority where you live is higher, and that you have the legal capacity to agree to these Terms.

We may ask you to verify your age, including through a third-party provider, and may suspend access until you do. We close accounts that we determine, or reasonably suspect, belong to a minor, without refund. You must not let a minor use your account or see content from the Services.

You are responsible for making sure that viewing sexually explicit material is lawful where you are. If it is not, you must not use the Services.

§ 03

Your account

You can browse the catalogue without an account. Starting a chat, creating a character and buying anything require one. You register with an email address, which you confirm with a code we send it, and a password, or with a Google account, and you agree to register only with details and a payment method that belong to you, and to keep them accurate.

You are responsible for everything that happens under your account. Keep your password confidential. Your account is personal and non-transferable: you may not sell, lend, rent or share it, and you may not open more than one account to get more of the free allowance.

Tell us straight away at support@characterx.app if you believe someone has used your account without your permission.

§ 04

The free plan and CharacterX+

Free

  • 40 messages a day. The day resets at midnight UTC and unused messages do not carry over. The allowance belongs to your account, not to a character, story or device.
  • 3 images a week, refilled at the start of each week (Monday, UTC), plus a one-time allowance of images when you sign up.
  • Image packs, if you want more images. Free accounts can buy them.

CharacterX+

  • A subscription, billed monthly or yearly.
  • Unlimited messages.
  • 100 images a month, refilled at the start of each calendar month (UTC). At a refill, your allowance is topped up to this amount; a larger unspent allowance is retained up to 200. A refill does not add another full allowance on top of the remaining balance.
  • Image packs on top, whenever you want them.

Unlimited means for one person's own use. We may slow down or limit use that is automated, shared between people, or that threatens the stability of the Services.

What each plan includes is also shown on Pricing. If what is shown to you at checkout differs, what you saw at checkout applies to that purchase.

§ 05

Images and image packs

Chat is paced by the day; images come from a balance on your account.

  • An image credit pays for a requested render, such as a character portrait, a new take or a chat photo. Some automatically generated scene artwork is included without an image charge. An image credit is used when a requested render starts, and a render that fails is refunded.
  • If a picture fails on our side, the image it used is returned to your balance. We do not return an image because you dislike a finished picture; a finished picture has used real computing.
  • Web image packs add 20, 60, 150 images, according to the pack you choose. It is a one-time purchase, it does not renew, and its images never expire.
  • Images have no cash value. They cannot be transferred between accounts, exchanged for money, sold, or used to pay for anything else.
  • We may change which actions use an image. A change applies from when it is shown in the Services, never to images already used.

§ 06

Payments, renewal and cancellation

Prices

Prices are shown on Pricing and at checkout, in US dollars. You pay the price shown to you at checkout, plus any taxes shown there. Your bank or card issuer may charge its own fees, for example for a payment in a currency other than your card's.

Personal offers

An eligible account may receive a time-limited offer when its message or image allowance runs out. Eligibility and the deadline are checked by the server; refreshing the page does not restart an offer. The product, price and expiry are shown with the offer. A discounted yearly subscription renews at the annual price you agree to at checkout until cancelled; an image-pack offer is a single purchase. A checkout opened before expiry may retain that agreed price while payment completes.

An account that first arrives through a link from NovelX or EmberX, and has never subscribed on the website, may be offered its first month or its first year of CharacterX+ at an introductory price. Until 30 November 2026, any other account that has never subscribed on the website may be offered the same. The introductory price and the regular price that follows it are both shown before you pay. From the second month, or the second year, the subscription renews at that regular price until cancelled.

Paying on the website

On the website, card payments are processed by our payment provider, Finby, on its own secure payment pages. We never receive or store your full card number, expiry date or security code. By paying, you authorise us and Finby to charge your card for the amount shown and, for a subscription, for each renewal described below.

Charges appear on your card statement as CHARACTERX.APP. Paid access begins as soon as your payment is confirmed.

Automatic renewal

CharacterX+ renews automatically at the end of each billing period (every month on a monthly plan, every year on a yearly plan) at the renewal price shown to you at checkout, until you cancel. That is the price you first paid, unless your first month or first year was at an introductory price: then every renewal is charged at the regular price shown beside it. We charge the card you subscribed with when each new period begins, usually within a day of its start.

Cancelling

You can cancel at any time on the website: open Account, choose Manage subscription, then Cancel subscription. Cancelling stops the next renewal; it does not end the period you have already paid for. You keep CharacterX+ until the end of that period, and then your account returns to the free plan.

Until the period ends you can undo a cancellation, and the subscription carries on as before. When account deletion completes, its website subscription is cancelled. To stop a renewal during the 48-hour deletion grace period, cancel the subscription separately in your account. App Store subscriptions must be cancelled with Apple.

Failed renewals

If a renewal payment fails, we usually retry it several times over the following weeks, and you keep CharacterX+ while we do. Some declines, such as a card reported lost or stolen, cannot be retried and end the subscription at once. If the payment cannot be collected, the subscription ends and your account returns to the free plan. You can subscribe again at any time.

Changing plan or price

To move between monthly and yearly, cancel, and subscribe to the other plan once your current period has ended.

We may change our prices. A new price never applies to a subscription you already have: it renews at the price you agreed to at checkout until it ends. We may correct obvious pricing errors and may decline or cancel an order.

Purchases in the iOS app

If you subscribe or buy an image pack in the CharacterX app for iOS, you buy it from Apple, and Apple's terms for App Store purchases apply alongside these Terms. Apple charges you, and renewal, cancellation and refunds for those purchases are handled by Apple: manage or cancel them in your Apple ID's subscription settings.

A subscription bought in either place unlocks CharacterX+ on your account wherever you sign in. Cancelling on the website does not cancel an App Store subscription, or the other way round. The website will not start a subscription while your account already has one; if you do hold two, each renews and is charged separately until you cancel it.

§ 07

When CharacterX+ ends

When CharacterX+ ends (because you cancelled, because a renewal could not be collected, or because a payment was refunded or reversed) your account returns to the free plan. Your account, characters and chat history remain. From then on:

  • messages count against the free daily allowance again;
  • the monthly image allowance stops, and the free weekly allowance applies;
  • images you bought in packs stay on your account and still never expire.

If a payment is refunded, the access it paid for ends when the refund is made. If a payment is reversed through a chargeback, it ends when we are told of the chargeback. Where a refunded or charged-back payment was for an image pack, or granted images, we may remove the unused images it added.

§ 08

Refunds

If you live in the EU, the EEA or the UK, also read your right of withdrawal: your statutory rights are wider than the policy below, and nothing here reduces them. To ask for a refund of a website purchase, write to support@characterx.app from the email address on your account, with the date and amount of the charge.

CharacterX+ on the website

  • Ask within 24 hours of the payment. We do not refund requests made later than that, except where the law requires it.
  • We decline a request if you have already made substantial use of what the payment unlocked, for example a material part of that period's images.
  • We cannot refund a payment that never reached us, or fix a problem on your own device or network with a refund.
  • Refunds go to the card you paid with.

Image packs on the website

  • Ask within 24 hours of the payment.
  • We decline a request once images from that pack have been used.
  • If you bought a pack by mistake we will look at the circumstances, but we cannot promise a refund where the mistake was not ours.

EU, EEA and UK consumers: right of withdrawal

If you are a consumer living in the EU, the EEA or the UK, you have the right to withdraw from a purchase within 14 days of making it, without giving a reason. The period runs from the day we confirmed the purchase to you.

To withdraw, send us a clear statement saying so at support@characterx.app. You may use the model withdrawal form at the end of these Terms, but you do not have to. Sending your statement before the 14 days are over is enough to meet the deadline.

We will reimburse you without undue delay, and in any event within 14 days of hearing from you, using the same means of payment you used, at no cost to you. Because the Services are digital and begin immediately, any deduction for services already supplied applies only where permitted by law and where you expressly requested early performance. Starting to use the Services does not, by itself, waive your statutory rights.

This right applies to the first purchase of a subscription. It does not apply again to each automatic renewal.

Purchases in the iOS app

Apple handles refunds for App Store purchases under its own policies, and we cannot refund them ourselves. You can ask Apple for a refund at reportaproblem.apple.com.

Enforcement and changes

  • We do not refund content that was restricted or removed because it broke these Terms or the Content Policy, or restrictions placed on an account because of a breach.
  • We do not refund a payment because we changed, removed or stopped offering a character, a fantasy, a feature or a piece of content, where the change does not take away the core of what you paid for.

§ 09

Your content and the licence you give us

"Input" is anything you put into the Services: messages, the sentence you create a character from, the words on a character or persona, and scene directions. "Output" is what the Services generate from it: replies, characters, scenes, images and voice. Together they are your "Content".

You are responsible for your Input. You confirm that you have the rights you need to submit it, and that it breaks no law and nothing in our Content Policy.

The licence

You keep whatever rights you have in your Input; we do not claim ownership of it. To run the Services at all we need a licence, so you grant us a non-exclusive, royalty-free, worldwide, sublicensable and transferable licence to host, store, copy, transmit, display, adapt and process your Content, for as long as we need it and only for these purposes:

  • Operating the Services: sending your conversation to a model and its reply back to you, keeping your history, and painting and serving images and voice.
  • Safety and enforcement: finding and acting on content that breaks these Terms, the Content Policy or the law.
  • Support: looking into a problem you have reported to us.
  • Improving the Services: diagnosing failures and improving quality, including by analysing aggregated or de-identified use.

We do not sell your chats, and we do not publish them or use them in marketing. How your Content is handled as personal data is set out in the Privacy Notice.

Output is generated on demand by probabilistic models. It may not be original or unique to you, and someone else may receive something similar. To the extent we hold rights in Output, we grant them to you for your personal, non-commercial use under these Terms.

If you send us ideas or feedback, we may use them freely, with no obligation of confidentiality, credit or payment.

§ 10

Acceptable use

In using the Services you agree that you will not:

  • break any law that applies to you, or use the Services to commit or help commit a crime;
  • reverse-engineer, decompile or otherwise try to extract the source code, prompts, models or architecture behind the Services, except where the law expressly allows it;
  • get around, disable or tamper with any security measure, content safeguard, age requirement, payment control or limit, including the daily message allowance and image balances;
  • use bots, scrapers or other automated means to access the Services, or bulk-copy characters, images or generated text;
  • use the Services to build, train or evaluate a competing product or model;
  • resell, sublicense or commercially exploit the Services, your account, or anything generated for you;
  • remove or alter any copyright, trademark or other notice;
  • interfere with, overload or disrupt the Services or the systems they run on, or try to gain unauthorised access to any system or data;
  • impersonate anyone or misrepresent your connection with anyone;
  • use the Services in any way that exposes us or others to harm or liability.

§ 11

Prohibited content

Zero tolerance: minors

  • Any attempt to create, request, describe, upload or obtain sexual content involving a minor, real or fictional, in words or in pictures, by any prompt, persona, photo or workaround, is absolutely prohibited. An account found to have done so loses picture generation and may be closed without refund.
  • We may report such material, and the account behind it, to the competent authorities where the law requires or permits it.

You must not use the Services to create, request or share content that:

  • sexualises a minor, or shows a person who is or appears to be a minor in a sexual context;
  • shows a real, identifiable person in a sexual context, including a sexual deepfake or an "undress" or nudify edit of their image, or uses a real person's photo without their consent;
  • glorifies or promotes sexual violence, non-consensual sexual activity (including with someone asleep, unconscious or drugged), trafficking or sexual exploitation;
  • depicts bestiality, incest between blood relatives (role-played included; step-relations are not blood relations), or necrophilia;
  • depicts gore, mutilation or dismemberment;
  • incites, glorifies or gives instructions for violence, terrorism, self-harm or suicide;
  • is hate speech, or harasses, threatens or defames a real person or group;
  • gives real instructions for weapons, explosives, drug manufacture or other serious crime;
  • infringes anyone's intellectual property, privacy or publicity rights.

The full rules, and how to report content, are in our Content Policy.

§ 12

Safety, reports and enforcement

Lawful fiction between adults is what CharacterX is for, and we do not read your stories out of curiosity. To keep the Services within the law and these Terms, safeguards are built into how content is generated (every character must be an adult, and is painted as one), and a model may refuse or change a request.

When we receive a report, or otherwise have reason to believe the rules have been broken, authorised staff may review the content concerned, other content on the account, and the account's data. We may then remove content, restrict features, suspend or close the account, and report to the authorities where the law requires or permits it.

We may act on reasonable suspicion. We may also remove content for operational or technical reasons. No refund or restoration follows from an enforcement action.

To report content, write to support@characterx.app; what to include and what happens next are set out in Reporting content. If you believe we have acted wrongly against your account, write to the same address and a person will review the decision.

§ 13

Our intellectual property

The Services and everything in them (software, design, text, the characters in our catalogue, their portraits and fantasies, images, audio, and the CharacterX name and logo) are owned by or licensed to Sub Zero Labs OÜ and are protected by intellectual property law.

As long as you follow these Terms, we grant you a limited, personal, revocable, non-exclusive and non-transferable licence to use the Services and view their content on your own devices, for personal and non-commercial purposes. It is a licence, not a transfer of ownership, and it ends automatically if you breach these Terms.

If you believe something on the Services infringes your rights, write to support@characterx.app with enough detail to identify the work, the material you say infringes it, your contact details, and a statement that you are the rights holder or authorised to act for them. We remove infringing material and close the accounts of repeat infringers.

§ 14

Third-party services

The Services depend on third parties (hosting, storage, AI model providers, and payment processing through Finby on the website and Apple in the iOS app) and may link to other sites. A link is not an endorsement.

We are not responsible for third-party sites or services, their content or their terms. If you follow a link away from the Services, their terms apply. The providers we rely on are named in the Privacy Notice.

§ 15

Availability and changes to the Services

We work to keep the Services available but cannot promise they will always be. We may change, suspend or stop any part of them, temporarily or permanently, including for maintenance or for reasons outside our control.

We are not liable to you for doing so, except where these Terms or the law say otherwise.

§ 16

Disclaimer of warranties

The Services are provided "as is" and "as available", and you use them at your own risk. To the fullest extent the law allows, we disclaim all warranties, express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, satisfactory quality, non-infringement and title.

We do not warrant that the Services will be uninterrupted, secure or error-free, that they will meet your requirements, or that any output will be accurate, original, appropriate or reliable.

Nothing in these Terms excludes or limits any right you have as a consumer that cannot be excluded or limited under the law of the country where you live.

§ 17

Limitation of liability

To the fullest extent the law allows, neither we nor our directors, employees, agents or licensors are liable to you or anyone else, in contract, tort or otherwise, for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profit, revenue, business, goodwill or data, arising from your use of or inability to use the Services, even if we were told such damages were possible.

To the fullest extent the law allows, our total liability to you for all claims arising from these Terms or the Services is limited to the greater of the amount you paid us in the six months before the event giving rise to the claim, or fifty euro (€50).

We are not liable for delay or failure caused by anything beyond our reasonable control. Nothing here limits our liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot lawfully be limited.

§ 18

Indemnity

You agree to indemnify us, our affiliates and our staff against any claim, loss, liability or expense (including reasonable legal fees) arising from your Content, your use of the Services, your breach of these Terms, or your breach of any law or anyone's rights. This does not apply to the extent a claim arises from our own breach or negligence, or where you are a consumer and the law where you live does not allow it.

§ 19

Ending the agreement

These Terms apply for as long as you use the Services. You can end them at any time by deleting your account, or by cancelling any subscription and no longer using the Services.

You can delete your account on your Account page on the website or in the settings of the CharacterX iOS app, or ask us to delete it by writing to support@characterx.app from the email address on the account. What happens to your data afterwards is set out in the Privacy Notice.

We may suspend or close your account, with or without notice, if you breach these Terms or the Content Policy, if we reasonably suspect that you have, or if the law requires it. If we close your account for a breach, you may not open a new one.

Sections that by their nature should continue after the agreement ends do so, including the content licence, intellectual property, disclaimers, limitation of liability, indemnity and governing law. We may transfer these Terms and the operation of the Services to another company, including in a merger, acquisition or sale of assets; you may not transfer yours.

§ 20

Changes to these Terms

We may update these Terms. When we do, we post the new version here with a new date at the top of the page, and it takes effect when posted. Where a change is significant, we will also make reasonable efforts to tell you in advance, by email or in the Services.

If you keep using the Services after a change takes effect, you accept it. If you do not accept it, stop using the Services and cancel any subscription.

§ 21

Governing law and disputes

These Terms are governed by the laws of Estonia, without regard to conflict-of-law rules. Any dispute arising from them is subject to the exclusive jurisdiction of the courts of Estonia.

If you are a consumer living in the EU or the UK, this does not take away the protection of the mandatory laws of the country where you live, or your right to bring proceedings there.

Please write to us at support@characterx.app first. Most disputes are resolved faster that way than in court.

§ 22

General

If any part of these Terms is found unlawful or unenforceable, that part is removed and the rest stays in force. If we do not enforce a part of these Terms, we have not waived it.

These Terms, together with the Privacy Notice and the Content Policy, are the entire agreement between you and us about the Services.
